The terms for using Jara

These terms explain the rules, responsibilities, and limits that apply when a business uses JARA's AI-powered help desk.

Agreement to these terms

These Terms of Service are an agreement between you and JARA for access to and use of Jara, our AI-powered help desk, website, booking forms, and related services.

By creating an account, booking a demo, connecting business systems, or using Jara, you agree to these terms. If you use Jara on behalf of a company or organization, you represent that you have authority to bind that organization.

The Jara service

Jara helps businesses manage customer conversations, support operations, team assignments, handoffs, analytics, and AI-assisted workflows. Features may change as we improve the product, add integrations, or adjust service availability.

We may provide beta, pilot, or early-access features. Those features may be incomplete, change without notice, or be discontinued at any time.

Accounts and access

You are responsible for keeping account credentials secure and for all activity that occurs under your account. You must ensure that only authorized team members access Jara and that their permissions are appropriate for their roles.

You agree to provide accurate account, billing, and business information and to keep that information up to date.

Customer data

You retain ownership of the business, customer, message, order, and workflow data you submit to Jara. You grant JARA the rights needed to host, process, transmit, display, analyze, and otherwise use that data to provide and improve the service.

You are responsible for having the necessary rights, notices, consents, and lawful basis to collect customer information and connect it to Jara, including information from messaging channels your business uses.

AI-assisted features

Jara may generate drafts, summaries, recommendations, tags, classifications, or other AI-assisted outputs. AI outputs are not guaranteed to be accurate, complete, current, or suitable for every customer situation.

You are responsible for reviewing AI-assisted outputs before using them with customers or making business decisions. JARA is not responsible for decisions made solely in reliance on AI-generated content.

Acceptable use

You agree not to misuse Jara or allow others to misuse it.

  • Do not use Jara for unlawful, deceptive, harmful, abusive, discriminatory, or fraudulent activity.
  • Do not upload malicious code, attempt to bypass security controls, probe systems without authorization, or disrupt the service.
  • Do not use Jara to send spam, unsolicited messages, or communications that violate platform rules or applicable law.
  • Do not submit sensitive personal information unless you have a lawful basis and the information is necessary for your legitimate business use of the service.
  • Do not reverse engineer, copy, resell, sublicense, or provide access to Jara except as permitted in a written agreement with JARA.

Subscriptions and payment

If you subscribe to a paid plan, you agree to pay the applicable fees, taxes, and charges described at the time of purchase or in an order form. Fees are generally non-refundable unless required by law or stated in a written agreement.

We may change pricing, plan limits, or billing terms with reasonable notice. If payment is late or unsuccessful, we may suspend or limit access to paid features until amounts are paid.

Third-party services

Jara may connect with third-party services such as messaging platforms, commerce tools, analytics providers, hosting providers, email providers, and AI infrastructure. Your use of third-party services may be governed by their own terms and policies.

JARA is not responsible for third-party services, changes to their APIs, downtime, platform rules, fees, or actions taken by those providers.

Service availability

We work to keep Jara reliable, but the service may be unavailable from time to time because of maintenance, upgrades, outages, internet issues, third-party failures, or events outside our control. We may modify, suspend, or discontinue parts of the service where reasonably necessary.

Intellectual property

JARA and its licensors own the Jara service, software, design, branding, documentation, and related intellectual property. These terms do not transfer ownership of JARA intellectual property to you.

You may provide feedback or suggestions. We may use that feedback without restriction or obligation to you.

Confidentiality

Each party may receive non-public information from the other. The receiving party must use reasonable care to protect confidential information and may use it only for purposes related to the service, unless disclosure is required by law.

Termination

You may stop using Jara at any time. We may suspend or terminate access if you violate these terms, create risk for the service or other users, fail to pay fees, or use the service in a way that may cause legal or security harm.

After termination, some provisions will continue where their nature requires it, including payment obligations, confidentiality, intellectual property, disclaimers, liability limits, and governing law.

Disclaimers

Jara is provided on an as-is and as-available basis to the fullest extent permitted by law. We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation.

You are responsible for your customer communications, business decisions, compliance obligations, and use of AI-assisted outputs.

Limitation of liability

To the fullest extent permitted by law, JARA will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business opportunities.

To the fullest extent permitted by law, JARA's total liability for claims related to the service will be limited to the amount you paid to JARA for the service in the three months before the event giving rise to the claim, or GHS 1,000 if no fees were paid.

Governing law

These terms are governed by the laws of Ghana, without regard to conflict of law principles. The courts of Ghana will have jurisdiction over disputes arising from or relating to these terms or the service, unless applicable law requires otherwise.

Changes to these terms

We may update these terms from time to time. If changes are material, we will take reasonable steps to notify customers through the website, service, or other appropriate channels. Continued use of Jara after updated terms become effective means you accept the updated terms.
